Terms & Conditions


 

1. Introduction

These Terms & Conditions govern the provision of services by Residual-ai Ltd (“the Company”, “we”, “our”, or “us”) to any client, customer, agency, production company, or individual (“the Client”).

By engaging Residual-ai Ltd for services, the Client agrees to these Terms & Conditions.
 

2. Services

Residual-ai Ltd provides digital content creation and post-production services including, but not limited to:

  • Visual Effects (VFX)

  • CGI and 3D asset creation

  • Motion graphics and animation

  • Unreal Engine and real-time workflows

  • Editing and compositing

  • AI-assisted content production

  • Rendering and simulation services

  • Creative development and consultancy

  • Post-production support for film, television, advertising, gaming, and digital media projects

All services are supplied subject to written agreement, quotation, proposal, or approved correspondence.
 

3. Quotations & Project Scope

All quotations are valid for 30 days unless otherwise stated.

Any quotation or estimate is based solely on the agreed project scope at the time of issue. Additional work, amendments, revisions, changes in brief, or client-requested alterations outside the agreed scope may incur additional charges.

Project schedules and delivery timelines are dependent upon timely client communication, approvals, feedback, and delivery of required assets.
 

4. Client Responsibilities

The Client agrees to:

  • Provide accurate project information and materials

  • Supply assets in usable formats

  • Ensure they hold the necessary rights, permissions, and licences for any supplied content

  • Review and approve work within reasonable timeframes

Residual-ai Ltd is not responsible for delays caused by incomplete information, delayed approvals, missing assets, or technical issues originating from client-provided materials.
 

5. Revisions & Amendments

Unless otherwise agreed in writing, project quotations include a reasonable number of revision rounds relevant to the project scope.

Additional revisions, substantial creative changes, or work requested outside the agreed scope may be billed separately at the Company’s standard hourly or day rates.
 

6. Fees & Payment Terms

Invoices are payable within 14 days of issue unless otherwise agreed in writing.

For larger projects, Residual-ai Ltd reserves the right to request an upfront deposit or staged payments prior to commencing work.

Late payments may result in:

  • Suspension of ongoing work

  • Delayed delivery of final files

  • Additional administrative charges where legally applicable

Final deliverables may be withheld until payment has been received in full.
 

7. Intellectual Property

All intellectual property rights relating to project deliverables remain the property of Residual-ai Ltd until full payment has been received.

Upon cleared payment, the Client receives the agreed usage rights for the final approved deliverables unless otherwise specified in writing.

Residual-ai Ltd retains ownership of:

  • Internal workflows

  • Proprietary techniques

  • Tools, templates, rigs, systems, and methodologies

  • Pre-existing assets and software configurations

The Client is responsible for ensuring they possess appropriate rights for any supplied media, footage, music, imagery, trademarks, or third-party assets.
 

8. Portfolio & Promotional Use

Unless otherwise agreed in writing or restricted by NDA/confidentiality agreement, Residual-ai Ltd reserves the right to display completed work for portfolio, promotional, educational, award submission, and marketing purposes.
 

9. Confidentiality

Residual-ai Ltd will treat non-public project information as confidential and will not knowingly disclose sensitive client materials to third parties except where required for project completion or by law.
 

10. AI-Assisted Production

Residual-ai Ltd may utilise AI-assisted tools and technologies as part of internal creative and production workflows.

All final outputs remain subject to human creative supervision, technical review, and client approval.

The Company makes reasonable efforts to ensure generated or assisted content complies with applicable licensing and commercial usage standards.
 

11. Delivery & File Storage

Final files will be delivered electronically unless otherwise agreed.

Residual-ai Ltd may archive project files for a limited period following project completion. The Company is under no obligation to retain project files indefinitely.

Clients are strongly advised to maintain their own backups of all delivered materials.
 

12. Technical Limitations

Residual-ai Ltd is not liable for delays, inconsistencies, or technical limitations arising from:

  • Third-party software

  • Rendering systems

  • AI-generated processes

  • Simulation behaviour

  • Hardware limitations

  • Cloud services or external providers

Estimated render times and technical outputs may vary depending on project complexity and system performance.
 

13. Limitation of Liability

To the maximum extent permitted by law, Residual-ai Ltd shall not be liable for any indirect, incidental, consequential, or financial losses arising from the use of its services.

The Company’s total liability in connection with any project or service shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

14. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes arising in relation to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
